These Terms govern your access to and use of TradeSwapâs website, mobile app, and related services.
1. Introduction
Welcome to TradeSwap, operated by Nexora Technologies (âTradeSwap,â âwe,â âour,â or âusâ). TradeSwap is a digital platform that enables users to create accounts, list goods or wishes, discover listings, communicate with other users, request or complete swaps, receive notifications, and use safety and verification tools. By accessing or using TradeSwap, you agree to these Terms and our Privacy Policy. If you do not agree, you must not use the platform.2. Eligibility
- You must be at least 18 years old, or the age of digital consent / legal majority in your jurisdiction, whichever is higher.
- You must have the legal capacity to enter into a binding agreement.
- You must provide accurate, current, and complete registration information.
- You may be required to verify your email address or identity before using some features.
3. Account Registration and Security
You are responsible for your account, credentials, device access, and all activities conducted through your account.- Keep your password and authentication credentials confidential.
- Do not impersonate any person or entity.
- Do not create accounts using false or misleading information.
- Notify us promptly if you suspect unauthorized access or account misuse.
- We may require re-verification, suspend access, or restrict features where security or trust concerns arise.
4. Nature of the Service
TradeSwap is a platform that facilitates contact and exchange opportunities between users. Unless expressly stated otherwise, TradeSwap is not a seller, buyer, warehouse, logistics provider, escrow agent, insurer, broker, appraiser, or guarantor of user transactions.Marketplace Disclaimer: Users are solely responsible for verifying ownership, condition, legality, safety, authenticity, quality, and suitability of any item or arrangement before meeting or completing a swap.
5. User Listings and User Content
You may submit listings, messages, profile information, images, descriptions, ratings, reports, verification materials, and other content (âUser Contentâ). You are solely responsible for your User Content.- You must have the right to post the content and offer the item.
- Your content must be truthful, lawful, accurate, and not misleading.
- You must not post stolen, counterfeit, prohibited, or dangerous goods.
- You must not infringe any intellectual property, privacy, publicity, or other rights.
- You grant us a non-exclusive, worldwide, royalty-free license to host, store, display, reproduce, and process your User Content to operate, secure, improve, and promote the service.
6. Prohibited Conduct
You agree not to:- Use TradeSwap for unlawful, fraudulent, deceptive, abusive, or harmful purposes.
- List illegal, stolen, counterfeit, recalled, or prohibited items.
- Harass, threaten, stalk, exploit, or intimidate other users.
- Transmit malware, spam, phishing links, or malicious code.
- Attempt to scrape, reverse engineer, exploit vulnerabilities in, or interfere with the platform.
- Bypass security features, bans, verification checks, or geographic restrictions.
- Use the platform to violate export controls, sanctions, anti-money laundering rules, or other applicable laws.
- Post content that is defamatory, obscene, hateful, discriminatory, or invasive of privacy.
- Abuse emergency, reporting, reputation, or verification systems.
7. Swaps, Meetings, and User Responsibility
TradeSwap does not guarantee that swaps will be completed, that users are honest, or that items are safe or lawful. Any meeting, exchange, shipment, or arrangement is at your own risk.- Inspect items carefully before agreeing to a swap.
- Meet in safe, public, lawful locations whenever possible.
- Use available safety tools, but do not rely on them as a substitute for caution.
- Comply with all local laws on ownership transfer, restricted goods, taxes, duties, and reporting obligations.
8. Communications Features
TradeSwap may offer in-app chat, voice calls, video calls, alerts, and notifications.- You consent to receiving communications relevant to the service, account, safety, and transactional activity.
- You are responsible for the legality and appropriateness of your communications.
- We may monitor metadata, reports, abuse signals, and service performance data to protect users and enforce our rules.
- We may review content where necessary to investigate abuse, fraud, legal compliance, or safety incidents, subject to applicable law.
9. Safety, Verification, and Emergency Tools
TradeSwap may provide tools such as identity verification, trust badges, emergency mode, emergency alerts, block lists, and safety settings.- Verification indicates review of certain submitted information, not a guarantee of character, conduct, or safety.
- Emergency tools are assistive features only and may be limited by device state, permissions, signal, battery, background restrictions, user settings, or third-party services.
- These tools do not replace emergency services, police, medical services, or personal safety judgment.
Emergency Disclaimer: If you are in immediate danger, contact your local emergency services immediately. TradeSwap cannot guarantee monitoring, dispatch, intervention, or successful delivery of any emergency communication.
10. Fees, Promotions, Credits, and Referrals
Some features may be free, while others may involve paid boosts, credits, referral benefits, or promotional offers. Any such features are subject to additional terms displayed at the point of use.- Promotions may be withdrawn, modified, suspended, or cancelled at any time where abuse, error, fraud, or legal concerns arise.
- Credits and referral rewards may have expiration, usage, eligibility, or anti-abuse limits.
- Unless required by law, promotional values are non-transferable, non-refundable, and not redeemable for cash.
11. Suspension and Termination
We may suspend, restrict, or terminate your account or access, with or without notice where permitted by law, if:- You violate these Terms or our policies.
- We suspect fraud, abuse, illegal activity, security risk, or harm to others.
- We are required to do so by law, court order, regulator, or rights holder.
- Your use exposes us, users, or partners to risk.
12. Intellectual Property
TradeSwap and its associated names, logos, software, design, interfaces, workflows, text, graphics, and content are owned by or licensed to Nexora Technologies and are protected by applicable intellectual property laws. Except as expressly allowed, you may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from the service.13. Third-Party Services
TradeSwap may rely on third-party services and infrastructure, such as hosting, analytics, identity providers, cloud messaging, database services, maps, notifications, crash reporting, and authentication tools.- Those third parties may have their own terms and privacy policies.
- We are not responsible for third-party services we do not control.
- Your use of linked or integrated third-party services may be subject to separate agreements.
14. Disclaimers
To the maximum extent permitted by law, the service is provided on an âas isâ and âas availableâ basis. We do not warrant uninterrupted access, error-free performance, availability in every country, guaranteed identity verification outcomes, or the accuracy of user-supplied information.15. Limitation of Liability
To the maximum extent permitted by law, TradeSwap, Nexora Technologies, and their officers, employees, contractors, and affiliates shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, goodwill, data, opportunities, or business interruption, arising out of or related to the use of the service. Where liability cannot be excluded under applicable law, our liability will be limited to the minimum amount permitted by law.16. Indemnity
You agree to defend, indemnify, and hold harmless TradeSwap and Nexora Technologies from claims, losses, liabilities, damages, costs, and expenses arising out of your content, your use of the service, your transactions, your breach of these Terms, or your violation of any law or third-party rights.17. Governing Law and Disputes
Unless mandatory local law requires otherwise, these Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles. You agree that disputes may be resolved in the competent courts of Nigeria, except where consumer protection laws in your jurisdiction provide non-waivable rights or require a different forum.18. Changes to the Service or Terms
We may modify the service, these Terms, or related policies from time to time. Where required by law, we will provide notice of material changes. Your continued use after the effective date of revised Terms constitutes acceptance of the revised Terms.19. Severability and Entire Agreement
